Terms of Service

1. Acceptance of Terms

By accessing or using the Finovia platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and Aronis ("Finovia", "we", "us").

2. Description of Service

Finovia is a cloud-based invoicing and quote management platform. The Service allows you to create and manage quotes, invoices, credit notes, debit notes, recurring invoices, client records, payment tracking, and related business documents. The Service includes a free plan and paid subscription plans with additional features.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must be at least 18 years old or the age of legal majority in your jurisdiction. You must notify us immediately of any unauthorized use of your account.

4. Subscriptions & Payment

4.1 Plans

The Service offers a free plan and several paid plans (Starter, Pro, Enterprise). Features and limits vary by plan. Plan details and pricing are available on our website and may be updated from time to time.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis through Stripe, our payment processor. By subscribing to a paid plan, you authorize us to charge your payment method at the beginning of each billing period. All prices are displayed in the currency indicated at the time of subscription and are exclusive of applicable taxes unless otherwise stated.

4.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for. After cancellation, your account will revert to the free plan.

5. Refund Policy

5.1 European Union Users

In accordance with Article L221-28 of the French Consumer Code and Directive 2011/83/EU, by subscribing to a paid plan and gaining immediate access to the Service, you expressly consent to the immediate performance of the Service and acknowledge that you thereby waive your right of withdrawal (14-day cooling-off period). This waiver is confirmed during the checkout process. The free plan allows you to evaluate the Service without any financial commitment before upgrading.

5.2 United States Users

All subscription payments are non-refundable. Since a free plan is available to evaluate the Service before purchasing, no refunds will be issued for paid subscriptions. You may cancel at any time to avoid future charges.

5.3 General

No refunds will be issued for partial billing periods, unused features, or plan downgrades. In exceptional circumstances (e.g., prolonged service outage attributable to us), we may, at our sole discretion, offer a credit or pro-rated refund.

6. User Content & Data

You retain all ownership rights to the data and content you upload to the Service ("User Content"). By using the Service, you grant us a limited license to process, store, and display your User Content solely for the purpose of providing the Service. We will not access, use, or share your User Content for any other purpose without your consent, except as required by law.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to create fraudulent documents.
• Attempt to gain unauthorized access to the Service or its related systems.
• Interfere with or disrupt the Service or servers.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to send spam or unsolicited communications.
• Resell or redistribute the Service without our written consent.

8. Intellectual Property

The Service, including its design, code, features, logo, and documentation, is the intellectual property of Finovia and is protected by copyright and other intellectual property laws. You may not copy, modify, or create derivative works based on the Service without our prior written consent.

9. Service Availability

We strive to maintain 99.9% service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will provide reasonable notice of planned maintenance when possible.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Finovia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Finovia and its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees. Upon termination, your right to use the Service ceases immediately. You may export your data before termination. We will retain your data for 30 days after termination, after which it may be permanently deleted, subject to legal retention requirements.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of France. Any disputes shall be submitted to the exclusive jurisdiction of the competent courts of Marseille, France. For EU consumers, mandatory consumer protection laws of your country of residence may also apply, and you may bring proceedings in the courts of your country of residence.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.
